Terms of Service

Welcome to Suminoir (the "Service"). These Terms form an agreement between you and Suminoir (the operator of the Service, "we" or "us") regarding your use of the Service. Please read them carefully, especially the sections on disclaimers, limitation of liability, prohibited conduct, and dispute resolution. By registering, signing in, or using the Service, you acknowledge that you have read, understood, and agree to all of these Terms; if you do not agree to any part, do not register or use the Service.
1. About the Service
Suminoir is a node-canvas AI creation tool on a credit-based, membership subscription model: you use image generation, multi-model chat, and other AI creation features by spending credits, with no model setup or maintenance required on your side. We may add, adjust, or retire features from time to time.
2. Accounts & Eligibility
You need an account to use the full features of the Service. To register you must provide a valid email address and set a password. You must keep your registration information accurate and your credentials secure, and you are responsible for all activity under your account. You must have full legal capacity; if you are a minor, use the Service only with the consent and guidance of your guardian. You must not share account access with others or transfer, rent, or lend your account.
3. Membership, Credits & Billing
The Service offers free and paid allowances. Membership is billed per cycle and grants a corresponding amount of credits each cycle; credits are valid for the cycle and reset at its end, and do not roll over or convert to cash. Each generation or chat deducts credits based on the model and specification used; failed generations are not charged. Per-model credit rates are shown live in the product. We may adjust credit rules or pricing for operational reasons, with advance notice for material changes; adjustments do not affect credits you have already consumed.
4. Content Ownership & License
You retain your rights in the content you input (prompts and uploaded assets). Content you generate with the Service is yours, and you may use it for personal or commercial purposes under applicable law, subject to the terms of the third-party AI models you use. You represent that your inputs and uploads are your own or duly licensed, and do not infringe others' intellectual property, likeness, privacy, or other lawful rights. To provide, maintain, and improve the Service (including content-safety review, troubleshooting, and stability), you grant us a limited license to process your inputs and generated content to the extent necessary to provide the Service.
5. Acceptable Use & Prohibited Conduct
You must use the Service only for lawful and legitimate purposes and are fully responsible for all content you submit, generate, or distribute. You must not: (1) access, interfere with, damage, or attempt to bypass the Service's systems or security mechanisms, or reverse-engineer, scrape, bulk-download, or abuse its interfaces; (2) generate or distribute content involving sexual exploitation, pornography, violence, terrorism, hate, fraud, infringement, or other unlawful or harmful material; (3) impersonate others, falsify identity, or use outputs to commit fraud, spread false information, or mislead the public; (4) mass- or maliciously register accounts, share accounts, farm credits, bypass rate limits, or consume excessive system resources to the detriment of other users; or (5) engage in any other conduct that violates applicable law or these Terms or infringes others' rights. If we determine or reasonably believe you have engaged in such conduct, we may restrict or terminate your account and access without prior notice, without refund, and pursue remedies available by law.
6. AI Content & User Responsibility
Given the nature of AI technology, outputs may contain inaccuracies, bias, or errors, and identical or similar inputs may yield different results. We make no express or implied warranty as to the accuracy, completeness, legality, or fitness for purpose of any output. You are responsible for verifying an output's accuracy, legality, and suitability before relying on it, and you bear all resulting consequences. When using third-party AI models integrated into the Service, you must also comply with those third parties' terms of service and usage policies.
7. AI Content Labeling & Compliance
Outputs from the Service are AI-synthesized content. When distributing or commercializing outputs, you must comply with the laws and regulations on generative AI and synthetic media applicable in your jurisdiction, must not use outputs to impersonate others, spread false information, or otherwise mislead the public, and must not remove, alter, or conceal content labels (such as watermarks) added by the platform in accordance with regulations.
8. Refund Policy
Except where mandatorily required by applicable law, consumed credits are non-refundable. You may cancel a paid subscription before the start of the next billing cycle; after cancellation it will not renew, but the service period already begun is non-refundable. If your service is terminated for violating these Terms, fees paid are non-refundable.
9. Service Availability
The Service is provided "as is" and "as available." We do not warrant that it will be uninterrupted, error-free, continuously available, or fit for your particular purpose, and we may modify, suspend, or terminate all or part of the Service for maintenance, upgrades, or operational reasons, with advance notice where practicable. Some features may be offered in beta form; beta features may be unstable or contain defects, and you use them at your own risk.
10. Disclaimer & Limitation of Liability
The Service relies on third-party AI models and cloud infrastructure. We are not liable for unavailability or failed generations caused by third-party outages, rate limits, shutdowns, or policy changes, or by force majeure (such as natural disasters, power or network failures, or governmental actions) — failed generations are not charged. To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, or punitive damages (including lost profits, lost data, or lost goodwill), and our total liability to you, on any basis, is capped at the fees you actually paid for the Service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, liabilities, and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, the content you submit or generate, or your infringement of any third party's intellectual property, privacy, or other lawful rights.
12. Geographic Restrictions
The Service is not offered in any country or region where providing or using it would violate applicable law, sanctions, or export controls. You represent that you are not located in, ordinarily resident in, or otherwise barred by such restrictions from accessing the Service. Where required by law or risk control, we may restrict, suspend, or terminate your access without prior notice.
13. Dispute Resolution
The formation, performance, and interpretation of these Terms, and any dispute arising from them, should first be resolved in good faith through friendly negotiation. If negotiation fails, either party may seek resolution through a channel of competent jurisdiction under applicable law. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.
14. Changes & Termination
We may revise these Terms from time to time and will publish an updated version and remind you by appropriate means before it takes effect. You may stop using the Service at any time; we may suspend or terminate your access if you materially breach these Terms. Termination does not release you from obligations or liabilities incurred while these Terms were in effect. Your continued use of the Service after a revision means you accept the revised Terms.
